Section 3: Powers

In furtherance of its corporate purposes, RSWNY, Inc. will have all the general powers enumerated in Section 202 of the Not-for-Profit Corporation Law, together with the powers to solicit grants and contributions for corporate purposes.

Section 4: Limits

a.     RSWNY, Inc. will not influence legislation nor participate in political campaigns on behalf of any candidate for public office and will not publish or distribute any political statements.

b.     Notwithstanding any other provision of these Bylaws, RSWNY, Inc. will not carry on any other activities not permitted to be carried on by a corporation exempt from federal income tax under Section 501©(3) of the Internal Revenue Code of 1954, as now in force or afterward amended.

ARTICLE IV

PARTICIPATION

RSWNY. Inc. aims, in all levels of decision-making and participation, to have substantial representation of people fifty years of age and older.

RSWNY, Inc. aims to have an equitable balance of men and women, representing a diversity of racial, ethnic, and religious groups, regardless of economic level, sexual orientation, gender expression or disability.

ARTICLE V

MEMBERSHIP

Section 1: Qualification for and Maintenance of Membership

A member of RSWNY, Inc. must be twenty-one years of age or older and support the mission, goals, and policies of the organization.

Each member of RSWNY, Inc. shall be a member in good standing of the organization through annual dues and/or personal service as approved by the Board.

Section 2: Term of Membership, and Renewal

Membership in RSWNY, Inc. will be for a one-year period, renewable upon continued payment of annual dues.

Section 3: Censure, Suspension, and Expulsion

Whenever, in the opinion of the Board of Directors, the conduct of any member of RSWNY, Inc. is inconsistent with its mission, goals, or policies, the Board will produce a written statement of the grounds and send it by registered mail to such member, including a notice giving such member an opportunity to be heard at a stated meeting of the Board.  The Board may, after such hearing or non-appearance of the member, act, absolve, censure, suspend, or expel such member, by a unanimous vote of the quorum of the Board.
