The Vice President shall be the ex-officio member with all committees of the
Corporation. In the absence of the President, the Vice President shall perform
all duties of the President, and when so acting, shall have all the power and
be subject to all the restrictions placed upon the President. The Vice President shall assist the
President in carrying out the duties of the position.
The Treasurer is the Chief Financial Officer of the Corporation and will be the
Chairperson of the Financial Planning Committee, or equivalent committee, as
created by the Board of Directors. The Treasurer shall, with approval from the
Board of Directors, establish and maintain effective procedures for the
collection, receipt, custody, and the investment of funds, securities, and
other assets. He or she will ensure that appropriate processes exist to pay all
debts and obligations of RSWNY, Inc., with checks co-signed by the Treasurer
and President.
The Treasurer will open bank accounts and borrow funds in the name of the
Corporation, co-sign checks and other papers requiring the payment of monies,
and perform other such duties as may be authorized and approved by the Board of
Directors.
Any person, seeking reimbursement of expenditures, related to
RSWNY, Inc., must present a valid invoice or receipt submitted directly to the
Treasurer, or in the absence of the Treasurer, to the President. Additionally,
monies received for activities conducted by RSWNY, Inc. shall be documented in
writing and submitted directly to the Treasurer, or in the absence of the
Treasurer, to the President.
The Treasurer shall provide a monthly treasurer’s report of the Corporation to the Board of Directors and the RSWNY,
Inc. Membership at the monthly meeting. He or she shall on or before August 15th, provide a final
financial statement of the fiscal year that ended June 30th,
verified by an independent accountant, to the Board of Directors and the
membership. He or she shall also
provide other pertinent reports when requested by the Board of Directors. The Treasurer shall preside over the Ad
Hoc Budget Committee.
The Secretary shall be responsible for the general correspondence of the Board
of Directors. The Secretary shall
issue notices of all meetings of the membership and the Board of Directors,
attend all Board and membership meetings, and maintain and submit accurate
minutes of all Board meetings. He
or she shall maintain a current list of the membership of the Corporation and
maintain Corporation documents and records, including safeguarding their
confidentiality.
The Scribe shall be a volunteer and active member of the RSWNY, Inc.
Section 5. Additional Officers
The Board of Directors may appoint additional or temporary
officers to serve at the pleasure of the Board, with such powers and duties as
prescribed by the Board of Directors.
