2)    Questions as to the conduct of all meetings of RSWNY, Inc. and the Board of Directors shall be resolved by the President.

3)    In the event two or more members question any determination made by the President, the provisions of Parliamentary Procedure, or any alternative provisions adopted by RSWNY, Inc. shall be followed and be consistent with the provisions of these Bylaws and applicable law.

4)    At all regular meetings of the membership, a non-Board member will perform the duties as the Scribe of the Corporation. Those duties are to note all business that must be recorded as part of the permanent records for RSWNY, Inc.

b.     Board meetings

1)    At all Board of Director meetings, the President of RSWNY, Inc. (Vice-President, in the President’s absence) shall preside and shall follow the agenda as determined by the Board of Directors.

2)    Questions as to the conduct of all meetings of RSWNY, Inc. and the Board of Directors shall be resolved by the President.

Section 5: Amending the Bylaws of the Corporation

a.     The Bylaws may be amended at the annual meeting of the organization. 

b.     Any proposed changes to the Bylaws may be submitted by any member of the organization, in writing, to the Bylaws Committee at least 60 days before the annual meeting.  All proposed changes will be formulated into a proposal by the Committee to be presented to the Board of Directors. 

c.     Upon discussion and approval by the Board of Directors, the proposed changes will be presented to the membership at the annual meeting.  The changes will be presented and discussed in open forum. 

The above Bylaws were reviewed, voted on, and approved, by the Board of Directors on May 21, 2006, by the RSWNY membership on June 18, 2006, and witnessed by said signature(s) below, President and Secretary (or designee) of Rainbow Seniors of Western New York, Inc.
